Minutes of Annual Meeting, Saturday, August 2, 2025

The meeting was called to order on Association premises (at the tennis court) by

Director Walter Mello at 9:10 a.m.


A motion was made by unit owner Pat Ward to waive the roll call and reading of the minutes from the 2024 Annual Meeting and approve the 2024 minutes. The motion was seconded by unit owner, John Senatore and was passed unanimously on voice vote of the unit owners in attendance.


Our representative from Great North, Renee Palm, who served as Inspector of

Election, confirmed that a quorum of 82.19% with 24 unit owners in attendance at the meeting.


The Board of Directors for MLV announced the passing of Lelia Kupper. A donation to the Ogunquit Library will be made in her honor. 


Reports: Leadership Report FY24 Accomplishments

Passage of new rule pertaining to RVs (https://www.meadowlarkvillageogt.com/rules-and-by-laws) see parking rules. Approval of several major renovation projects including excavation and replacement of water and sewer pipes. We replaced multiple light posts and light fixtures. Continued removal of several dangerous pine trees and replanting trees. We did sewer pump maintenance and pump refurbishment.


FY 26 Planned Activities Continued and ongoing projects: water management in various units, front step, roofs, chimney repairs and re-planting of trees previously removed. The roofs of units 106 and 107 will be replaced in September by Hall Brothers. The following year roofs on unit 104 and 105 will be replaced. Water is being monitored by Kennebunk, Kennebunkport and Wells Water District. They have been a great help in detecting and notifying us of pipes leaking.


FY26 Challenges: Challenges include: sewer and underground water systems, weather induced surprises ( underground pipes, snow etc ) and Chimney issues 


Playhouse update: The association is monitoring the zoning change request by the Ogunquit Playhouse. A letter was written and sent to the Ogunquit Playhouse by Jeff Werthan. Association members were at the Planning Board meeting (zoom) Donna Fox and Jeff Werthan who outlined our position (see letter distributed at meeting). 


Questions, comments, and reminders:

Special thanks to Alan Maranian for continuing the pool maintenance responsibilities. The association acknowledged all the work Lauren Leyden has done and thanked her.

Please clean your dryer vents and chimneys (if you have fires) yearly. Please water bushes and the lawn near your unit during dry periods. Shut off water main to your unit when you leave for more than a few days. Plumbers can install devices (at unit owners expense) to make it easy to turn off water from convenient/remote locations. Please see full list of reminders in meeting presentation handout.

Skylights are unit owners responsibility when roofs are done.

Pool rules: Mrs. Ward stated her position that water noodles should be allowed in the pool. She will forward to the Board research from Maine and federal rules/guidelines. Director Brockway will research pool insurance requirements. 

Director Brockway answered a question about our flood status. He stated MLV was in a low flood zone risk. 

Director Modena reminded unit owners to inspect and if necessary replace oil tanks in basements and crawl spaces. Unit owners should check individual insurance policy for this coverage. Director Brockway will check our master policy. 

The Tree Committee and a new vendor did a property inspection on Friday, August 1, 2025. We are waiting for Expert Tree Removal to submit a bid for work.


Cable TV/Internet: The Board will review and study new options for cable and/or Internet access. We will be asking about the new Fidium fiber service coming to Ogunquit.

An email went our to edit information for our 2025 Directory. The new directory will come out September as PDF.


Financial Status Report

Director Mike Flanagan outlined our past financial status and future predictions for our budget (see detailed presentation from paper handout/meeting packet email). Overall he said, it was a good year and the association is in good financial health. We have been increasing the reserve fund with monthly transfers averaging $850. As of June 30, 2025, the reserve fund balance was approximately $130,000 with a plan to increase it to cover emergencies such as the $28,000 emergency sewer project. Director Flanagan is planning to find a higher interest rate for a portion of the reserve fund. Cost increases are an ongoing concern such as insurance. Director Brockway commented that our evaluation has increased to 16 million dollars and thus our rates have gone up. Brockway feels that at about $270 per square foot valuation is the basis for our good insurance rate and the Andover Company provides good and fair service. However rates will continue to go up.and maintenance must be done. We are planning to reroof four units in the next two years. The Board has determined a dues increase of 4.5% will need take effect January 1, 2026. This is the first increase in two years. The method of collection will be discussed. However, the Board is bound to follow the By-Laws.


Election

After counting the proxies submitted by unit owners, Inspector of Election Renee Palm reported that a substantial majority of unit owner voting power in excess of 80 percent had elected Lauren Leyden, Walter Mello, and James Modena to the board for a term of three years.


Adjournment

There being no new business to address, a motion to adjourn was presented by Pat Ward, seconded by Patrick Reilly, whereupon the motion passed unanimously on voice vote of the members and the Annual 2025 Meeting was adjourned at 10:15AM.
